Terms of Service

By accessing or using the Chattypie platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who contribute content, information, and other materials or services.

Chattypie provides an AI-powered customer support platform that includes live chat, shared inbox, knowledge base, automation tools, and AI agent capabilities. The Service is provided on a software-as-a-service (SaaS) basis.

You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

By creating an account, you represent and warrant that you are at least 16 years old, or the age of majority in your jurisdiction if older. The Service is not intended for children under this age and we do not knowingly collect personal data from them. If you are a parent or guardian and believe a minor has provided us with personal data, please contact us at [email protected] and we will take reasonable steps to delete the information.

Staff access for support. Our authorized personnel may access your account and the data within it as necessary to provide support, investigate technical issues, maintain the security and integrity of the Service, or comply with legal obligations. We take reasonable steps to ensure such access is limited to what is necessary for the task at hand.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service to send unsolicited messages or spam
• Reverse engineer, decompile, or disassemble the Service

Anti-spam and messaging compliance. If you use the Service to send email, SMS, push, or other outbound messages to your customers, you are responsible for complying with all applicable national and regional messaging laws, including but not limited to the US CAN-SPAM Act, CASL (Canada), the EU ePrivacy Directive, India's DPDP Act, Brazil's LGPD, Australia's Spam Act, and equivalent regulations in other jurisdictions. You represent that you have a lawful basis (such as prior consent or an established business relationship) to contact each recipient, and you agree to honor unsubscribe requests promptly. Chattypie is not responsible for content you send, and you will indemnify us for any claim arising from your non-compliant messaging (see Section 12).

The Service and its original content, features, and functionality are owned by Chattypie and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Service. By submitting content, you grant Chattypie a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service.

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We reserve the right to modify our pricing with reasonable advance notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of scheduled downtime.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.

We do not warrant that the Service will be error-free, secure, free of viruses or other harmful components, or that it will meet your requirements. You acknowledge and agree that you use the Service at your own risk.

Customer backups. You are responsible for maintaining your own backups of any data or content important to you. Chattypie is not liable for loss of, damage to, or unavailability of such data, whether caused by Service failures, third-party provider outages, human error, account termination or suspension, data corruption, or any other cause.

The Service includes features that produce AI-generated content, including suggested replies, summaries, automated responses, sentiment analysis, and agent assistance, that is generated by third-party AI models (see our Privacy Policy, Section 5, for the current provider list). Such content may be inaccurate, incomplete, out of date, biased, misleading, or inappropriate, and should not be relied upon as a substitute for professional advice (including legal, medical, or financial advice).

You are responsible for reviewing any AI-generated content before it is sent to, displayed to, or acted upon by your customers or any other person, and for any decisions made based on it. Chattypie does not warrant the accuracy, completeness, or suitability of AI output for any particular purpose, and will not be liable for any consequences arising from its use, including without limitation the content of replies sent to your customers.

To the maximum extent permitted by law, Chattypie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, goodwill, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any and all claims arising under or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid for the Service in the three (3) months preceding the claim, or (b) one hundred US dollars (US$100).

You agree to indemnify, defend, and hold harmless Chattypie, its operators, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Service
• Any content you submit, transmit, or otherwise make available through the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, publicity, or contractual rights
• Your violation of any applicable law or regulation

Chattypie has no obligation to indemnify, defend, or hold you harmless in connection with any claim arising out of or related to your use of the Service. You acknowledge that you are solely responsible for any legal, regulatory, or financial consequences of your use of the Service.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions, and that you are not listed on any government list of prohibited, sanctioned, or restricted parties.

You agree to comply with all applicable export control, trade sanctions, and economic sanctions laws and regulations in your use of the Service, and you will not use the Service, nor permit others to use the Service, in violation of any such laws or regulations.

Neither party is liable for any failure or delay in performance of these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labor disputes, outages or failures of third-party service providers (including cloud, hosting, authentication, AI, payment, or telecommunications providers), internet or network failures, cyberattacks, or any other event the affected party could not have reasonably foreseen or prevented.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time from the profile page or by contacting us at [email protected]. Upon termination, we will delete your data in accordance with our Privacy Policy.

Data recovery. Once termination is initiated, your personal data is anonymized within 30 days as described in the Privacy Policy. During that window you may contact support to request that the deletion be halted. Whether restoration is possible depends on the type of termination, the state of your data at the time of the request, and the status of any third-party accounts (such as authentication or billing) associated with your account. We will make reasonable efforts to restore accounts that are still within the window where operationally feasible, but restoration is not guaranteed. If the termination was for a material breach of these Terms, restoration may be refused.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
